Title: Transactional AttorneyFirm: $6B Investment ManagerLocation: Greenwich, CTCompensation Range: Compensation will be determined by Big Law class year Job Overview: Our client, a dedicated emerging investment manager with $6B in AUM, is seeking a transactional attorney with experience in secured lending transactions to join its growing Legal Department.Highlights:You will have dual-reporting obligations to the Chief Legal Officer and Legal Head of Transactions & RestructuringThe firm integrates ESG factors into its investment process, demonstrating a commitment to responsible investing.Opportunity to join a team of seasoned investment professionals who have extensive experience in emerging markets.Key ResponsibilitiesAdvise Legal and Investment teams on capital solutions transactions, including secured loans, asset-backed lending, acquisition financing, and mezzanine facilities across industries such as energy, commodities, infrastructure, and real estate for corporate and sovereign borrowers in emerging markets.Oversee all legal aspects of capital solutions investments, including transaction management, collateral and tax structuring, document negotiation (credit agreements, security agreements, etc.), and legal issue resolution.Collaborate with the Legal Head of Transactions & Restructuring and investment teams on amendments and restructurings.Act as the primary contact for external legal counsel, tax advisors, and other advisors on private credit transactions.Support other investment verticals as needed, including liaising with outside counsel.Manage investment-specific confidentiality agreements.Assist with business operations, including new financing platforms, third-party vendor agreements, and corporate governance matters.Provide guidance on regulatory and compliance developments in finance.Oversee fund financing negotiations and execution in coordination with outside counsel and investment teams.Qualifications:JD from a top-tier institution; admitted to practice in New York or relevant jurisdictions.5-10 years of experience in secured transactions or restructuring at a top-tier law firm.Expertise in complex lending transactions; cross-border and Latin American experience a plus.Strong writing, transactional, and negotiation skills.Exceptional organizational ability to manage multiple matters in a fast-paced environment.Ability to identify legal and business issues and communicate clear decisions to management.Spanish fluency (including legal document negotiation/drafting) is a strong plus.
