Familiarity with General Counsel functions is a plus!Benefits Offered:A highly competitive bonus program that rewards the ambitious.Medical, Dental, and Vision.Firm covers 100% of $100,000 life insurance policy.Unlimited PTO.Flexible work schedule (in office 3-4 days per week).Casual work environment.On-site gym access.On-site parking.Quarterly outings: sporting event tickets, concerts, comedy shows, top golf, etc.Key Responsibilities:Support attorneys in business transactions, mergers & acquisitions, entity formations, and contract drafting.Prepare, review and organize corporate governance documents (e.g., bylaws, shareholder agreements, and meeting minutes).Conduct due diligence, legal research, and compliance analysis for corporate matters.Assist with drafting and reviewing contracts, NDAs, vendor agreements, and commercial documents.Manage and coordinate corporate filings (e.g., Secretary of State filings, business licenses, and UCC filings).Maintain corporate records, entity management systems, and cap tables.Support attorneys in General Counsel functions, including risk management and compliance policies.Assist with transaction closings, closing binders, and documentation preparation.Coordinate with clients, opposing counsel, and regulatory agencies.Key Qualifications:· Minimum 7+ years of experience as a Transactional Paralegal, preferably in a law firm and in-house setting.· Strong understanding of business transactions, corporate law, and contract management.· Familiarity with General Counsel responsibilities is a plus.· Demonstrated ability to communicate effectively with senior executives while maintaining a high level of professionalism across all interactions and organizational levels.· Experience with entity formations, corporate filings, and compliance requirements.· Proficiency in legal research and document drafting.· Strong organizational and project management skills with attention to detail.· Excellent written and verbal communication skills.· Ability to work independently and as part of a team in a fast-paced environment.· Proficiency in legal technology and document management software.Education/Experience:Associate degree in Paralegal Studies or related field required; Bachelor's degree in Paralegal Studies or related field preferred.Paralegal certificate required.• 7+ years of paralegal experience.• 5+ years of transactional law experience. Please note that the compensation information that follows is a good faith estimate for this position only and is provided pursuant to the Colorado Equal Pay for Equal Work Act and Equal Pay Transparency Rules.Compensation:The annual salary range for this position is $70,000 - $95,000. The range is an estimate, based upon employee qualifications and other considerations permitted by law. The range may vary above and below the stated amounts, as permitted by Colorado Equal Pay Transparency Rule 4.1.2.
