Corporate Paralegal | Mid-Size Law Firm | Chicago, IL Our highly prestigious, mid-size Chicago based law firm has an immediate need for a high-performing and experienced Corporate Paralegal. The ideal candidate will have 5 plus years of related corporate paralegal experience and will be responsible for research, corporate filings, corporate formations, drafting documents, assisting on deals (including drafting ancillary documents, assembling signature page packets and compiling final, executed documents) and other tasks and duties as assigned. and will be responsible for all aspects of corporate transactions. Send resume to Scott Fischer, CEO: scott@RESPONSIBILITIES:Prepare and file annual reports and similar filings for corporations and limited liability companies in Delaware, Illinois, California, and other states to keep entities in good standingEntity formations and foreign qualifications (corporations, limited liability companies, partnerships)Drafting amendments to Articles of Incorporation/Organization.Responsible for IRS filings, and UCC filings and searches.Enters and retrieves corporate information from the Athenian database.Responsible for Corporate Minute Book maintenance.Draft corporate resolutions.Prepare Stock Certificates.Process Statutory Registered Agent Invoices.Completes special projects as assigned.Function effectively as a team playerREQUIREMENTS:Bachelor's degree and/or paralegal certificate from an accredited paralegal program required.One to three years' corporate paralegal experience in a law firm required.Prior experience with Athennian database preferred.Excellent communication skills, interpersonal skills, and organizational skills.Strong attention to detail required.Must be technically proficient in Microsoft Office, especially Excel.Ability to work on several projects concurrently.Maintains professional image and attitude.OTHER SKILLS AND ABILITIES:The following will also be required of the successful candidate:Excellent writing skillsStrong organizational skillsStrong attention to detailGood judgmentStrong interpersonal communication skillsStrong analytical and problem-solving skillsAble to work harmoniously and effectively with othersA self-starter who desires to show ownership and commitment to the jobAble to preserve confidentiality and exercise discretion
