Legal Counsel

Key Points: This position is open due to their continued growth and will offer exposure to all aspects of legal and regulatory workNewly created opening Counsel will report directly to the General Counsel and interact with senior management WFH policy: 4 days in the office and 1 day from home Location: Philadelphia Relocation: They are open to relocation, ideally someone that has a connection to the Philly area Responsibilities: Provide support relative to the offering of any new investment vehicles or other products and assist in launching new business initiatives across the firm and its subsidiariesDraft and review investment management agreements and other agreements with clients, financial institutions, consultants and investment advisersDraft and review compliance policies and procedures and conduct compliance testing of the effectiveness of the firm's policies and proceduresDraft, review and coordinate various regulatory filings and transactions related to registered investment funds (including prospectuses, proxy statements, annual and periodic reports and capital markets activities) and the firm's investment adviser activities (including Form ADV and Form PF)Draft and review corporate governance related documents (e.g., minutes, resolutions, and policies) and analyze corporate governance related mattersMonitor and understand the changing regulatory environment to ensure policies, procedures and key stakeholders are kept current with relevant changesInteract with and assist the firm's investment, finance, operations and investor relations teams regarding legal and compliance mattersQualifications: 1+ year of fund formation/regulatory experience from a law firm Private Fund experience is required, preferably with private equity funds
