You will play a critical role in ensuring that our infrastructure and services meet global security standards and comply with data protection laws. This role requires a proactive approach to risk management and legal compliance, helping us navigate complex legal landscapes while protecting sensitive information and fostering trust with clients.Responsibilities:Advise on compliance with U.S. federal and state securities laws: Securities Act of 1933, the Securities Exchange Act of 1934, and the Sarbanes-Oxley Act.Oversee the preparation and filing of SEC filings (e.g., Forms 10-K, 10-Q, 8-K), proxy statements, and other disclosures for public companies.Provide guidance on insider trading policies, Regulation FD compliance, and other market conduct regulations.Assist in the preparation of public offerings, private placements, and other capital markets transactions, ensuring compliance with regulatory requirements.Support the board of directors and executive management on corporate governance matters, ensuring alignment with legal and regulatory best practices.Advise on the preparation of board resolutions, charters, corporate bylaws, and corporate policies.Provide counsel on shareholder relations, shareholder proposals, and proxy contests, ensuring compliance with applicable regulations and best practices.Provide expert legal guidance on privacy, data protection, and cybersecurity laws, including GDPR, CCPA, HIPAA, and other relevant global regulations.Advise on legal and regulatory compliance for data storage, processing, and transmission across the company's AI-driven infrastructure.Collaborate with internal teams (product, security, IT, operations) to ensure data security and privacy measures are embedded in business processes and technologies.Draft and review privacy policies, data protection agreements, and security clauses within commercial contracts, ensuring compliance with privacy regulations and protecting the company's interests.Lead the response to data breaches, security incidents, and regulatory inquiries, providing legal guidance on incident handling, notification, and mitigation strategies.Advise on incident response protocols, coordinating with internal teams and regulatory bodies to ensure timely and compliant responses.Monitor and interpret global regulatory changes, advising on new legal obligations and potential risks related to data privacy and cybersecurity.Provide proactive guidance to leadership on evolving legal risks and compliance requirements, ensuring the company adapts to changes in the regulatory landscape.Advise on third-party vendor risk management, ensuring that vendors comply with the company's security and privacy standards.Draft and review vendor agreements to ensure appropriate data protection and cybersecurity provisions are in place within the company's partner ecosystem.Provide ad-hoc legal counsel on matters related to securities filings, disclosure obligations, and compliance issues impacting the business.Collaborate with external counsel when needed for specific securities, data protection, or compliance-related matters.Qualifications:Juris Doctor (JD) degree from an accredited law school.5 to 7 years of experience in security, privacy, and compliance law, preferably in a tech or cloud-based environment.What We Offer:We offer a comprehensive and competitive compensation package.
