Transactional Paralegal-Corporate Transactions and SecuritiesAtlanta, GA, Washington, DC, Charlotte, NC or Raleigh, NCSummary Premier, global, law firm is seeking an experienced Transactional Paralegal to work in their Corporate Transactions and Securities practice group. Qualified candidates will have at least 5-10+ years' experience in transactional areas as a paralegal to include drafting documents including file formations, amendments, mergers conversions and dissolutions, as well as other legal documents. Candidates should be self-starters, highly organized, and team players. Overtime is often needed to meet client deadlines.Responsibilities • Assist attorneys with corporate and securities transactions, including entity formations/changes, corporate maintenance and foreign qualifications • Draft and prepare documents including corporate approvals, stock certificates and stock transfer forms • Order lien searches and prepare UCC financing statements • Prepare and submit federal and state notice filings for Reg. D offerings. • Determine UCC/lien search locations, order UCC/lien searches and prepare and file UCC Financing Statements and any amendments thereto • Obtain tax identification numbers and prepare other regulatory filings related to corporate transactions • Proofreading and marking legal documents • Operate standard office equipment such as photocopiers, fax machines and personal computers • Maintain current and accurate daily time record • Perform special projects as assigned • Ability to work overtime and irregular hours as dictated by the Firm and client needs.Qualifications • Establish relationships and effectively liaise with clients and vendors on a regular basis • Ability to organize and prioritize numerous tasks and complete them under time constraints • Ability to concentrate and pay close attention to detail when evaluating legal matters • Ability to proofread typed material for contextual, grammatical, typographical or spelling errors • Interpersonal skills necessary in order to communicate and follow instructions effectively from the client, attorneys and staff and provide information with ordinary courtesy and tact • Interpersonal skills necessary in order to communicate by phone and provide information with ordinary courtesy and tact • Work may requires more than 40 hours per week to perform the essential duties of the position; may often require irregular hours • Self-motivated and able to thrive in a fast paced environmentEducation and Experience • A minimum of five (5) years of prior paralegal experience in a corporate practice. • Completion of a bachelor's degree is required.
