Legal Counsel/Senior Legal Counsel

The main responsibility of the role is to provide corporate, commercial, and transactional legal support to the company. Provide transactional and commercial legal support for the company, including preparation, negotiation and management of partner and vendor contracts? Draft and review contract manufacturing agreements, services agreements, material transfer agreements, and confidentiality agreements? Provide support for corporate matters, including financings, mergers and acquisitions, other special projects, board materials and resolutions, and company policies and procedures.? Provide analysis and legal counsel on issues related to contract preparation and execution, securities compliance and adherence to company policy and applicable laws and regulations? Advise business leaders of contractual rights and obligations and provide interpretation of contract terms and conditions? Help support legal needs of business development, sales, technology, and finance departments.? Oversee the development and implementation of processes, procedures, and systems to support and improve the company's ability to effectively manage a high volume of partner relationships and contractsKEY REQUIREMENTS? Juris Doctorate (JD) or equivalent degree required; active member of State Bar (California preferred)? 5+ years' experience as a transactional/commercial attorney with a background in drafting and negotiating commercial contracts? Solid work ethic, uncompromising integrity, and strong attention to detail? Excellent written and oral communication skills? Comfortable working in a fast-paced, dynamic environment? Ability to manage multiple projects that may have conflicting timelines? Ability to tackle and solve challenging start-up and scalability issues that require resourcefulness, creative thinking, and collaboration?
