New York City office of well-known, premiere investment management firm is looking for a Corporate Paralegal with at least 3 years of experience to support the legal team with matters related to corporate law and regulatory compliance. Job Description/Responsibilities:Corporate Governance:Draft, review, and maintain corporate records, such as bylaws, resolutions, meeting minutes, and organizational chartsEnsure compliance with all KYC requirements globally and liaise with Brokers, Banks and various counterparties in fulfilling KYC needs according to Soros internal disclosure standardsAssist in preparing for meetings, including preparing agendas and coordinating materialsMaintain entity records and manage compliance in multiple jurisdictionsCompliance:Ensure compliance with primarily US federal, state, and local regulations, including preparing various SEC filings (13F/G/D/Form N-PX, Form SHO)Monitor changes in laws and regulations affecting the company and assist with implementing compliance measuresReview and keep Firm's internal compliance manual, policies and procedures up to date and manage scheduling and prep for mandatory trainingsAssist in compliance related to the firm's Personal Trading databaseManage and update the Firm's Restricted List and any related Trading Rules on the trading platformTransactional Support:Assist with initial review and organization of data rooms, downloading and summarizing documents related to investments, financings, and other corporate transactionsConduct requested due diligence, draft basic closing documents, and organize closing bindersFile required documents with the Secretary of State and other regulatory agenciesAssist with Capital Calls, Distribution Notices and other Fund-related capital activityContract Management:Draft, review, and manage corporate contracts and agreements, including non-disclosure agreements (NDAs), broker contracts, vendor contracts, and service agreementsComplete and review subscription books for investments in other funds Track and Maintain contract deadlines, renewals, and compliance requirementsLegal Research:Conduct legal research and prepare summaries on corporate, securities, and regulatory issuesMonitor corporate filings and prepare periodic reports as requiredAdministrative Support:Assist with litigation matters, including document organization and preparationManage electronic and physical legal files, databases, and recordsRequirements/Qualifications:Bachelor's degree and/or paralegal certification3+ years of experience as a Corporate Paralegal in a law firm or in-house legal departmentStrong knowledge of corporate law, regulatory compliance, and business practicesFamiliarity with legal document management software and corporate governance platformsExcellent organizational, communication, and analytical skillsAbility to handle confidential information with discretionProficiency in Microsoft Office Suite (Word, Excel, PowerPoint) and legal software.Strong attention to detail and ability to manage multiple tasks under tight deadlinesUnderstanding of corporate structures, securities laws, and contract lawIf you are qualified, interested and want to learn more, please send an MS Word or PDF version of your resume to Jess Levinson at jlevinson@ -- Applicants without attached resumes may not be considered Desired Skills and ExperienceBachelor's degree and/or paralegal certification 3+ years of experience as a corporate paralegal in a law firm or in-house legal departmentStrong knowledge of corporate law, regulatory compliance, and business practicesFamiliarity with legal document management software and corporate governance platformsExcellent organizational, communication, and analytical skillsAbility to handle confidential information with discretionProficiency in Microsoft OfficeBeacon Hill is an Equal Opportunity Employer that values the strength diversity brings to the workplace.
