Senior Counsel, Private Equity

Our client is a Development, Investment, and Operating Company in the Energy Infrastructure space. They are looking to add an experienced and highly motivated self-starter to assist and lead various transactions in mergers and acquisitions and financings for the private equity legal team.Key Responsibilities:Lead all phases of mergers, acquisitions, and other strategic transactions, including overseeing bids, conducting due diligence, drafting and negotiating term sheets and final transaction documents, and supporting both the closing process and post-closing integration, including management team-related documentation.Contribute to the preparation of materials for M&A-related investment committee meetings.Manage financing activities for M&A transactions and refinancing efforts related to portfolio company debt.Foster strong collaborative relationships with cross-functional teams, such as finance, tax, regulatory, accounting, asset and energy management, and investor relations.Qualifications:JD with 4-7 years of experience managing complex M&A, financing, and corporate transactions.Ability to serve as the lead in-house attorney for M&A and corporate transactions, effectively managing multiple deals or projects simultaneously.Strong capacity to quickly evaluate business challenges, offer practical and timely recommendations under pressure, and identify, prioritize, and resolve issues independently while balancing legal risks and business objectives.Exceptional communication, project management, negotiation, and drafting skills.Willingness to support the corporate legal team and its overall mission as needs arise.
