Mergers & Acquisitions Associate, Senior Attorney, or Of CounselIndustry: Corporate Law / Mergers & AcquisitionsLocations: We can hire in any of the below locations, but this person will be practicing law in Delaware.New York, NYWilmington, DelawareMinneapolis, MNSalt Lake City, UTAbout:A prestigious law firm specializing in corporate law is seeking an experienced Mergers & Acquisitions Associate, Senior Attorney, or Of Counsel to join their team. The ideal candidate will have at least five years of experience in corporate law, specifically in Mergers & Acquisitions, to join the Delaware, Minneapolis, Salt Lake City OR New York office primarily supporting the Delaware office. This candidate will work on a diverse range of corporate and alternative entity transactions. These include mergers, acquisitions, divestitures, restructurings, strategic partnerships, financing and complex lending transactions, cross-border deals, private equity investments, and legal research and analysis. This role will also involve general corporate work such as contract review, corporate governance, and rendering legal opinions.Key Responsibilities:Support corporate and alternative entity transactions including mergers, acquisitions, restructuring, and strategic partnerships.Engage in private equity and cross-border transactions, as well as complex financing and lending arrangements.Conduct legal research and provide strategic advice on transactional matters.Review contracts and handle general corporate governance and legal opinion work.Qualifications:JD degree from an ABA-accredited law school.Minimum of five years of experience in corporate law, with substantial exposure to M&A transactions.Prior experience in a large law firm's business/corporate group is preferred.Admission to the Delaware bar or eligibility to become admitted in Delaware.Strong project management skills and the ability to manage multiple high-priority tasks in a fast-paced environment.Excellent written and verbal communication skills, with an ability to interact effectively with clients, business staff, executives, opposing counsel, and colleagues.Outstanding academic credentials.Compensation and Benefits:Below is compensation ranges per state and will be determined based on experience.New York$225,000 - $375,000Delaware: $205,000 - $315,000Minnesota: $200,000 - $300,000Utah: $180,000 - $280,000The role offers the option to select a reduced billable hours track with a proportional salary reduction.
