Dynamic and deep pocketed Banking and Finance team is seeking a well-trained Associate with 5 to 7 years of experience in Asset-Based Lending (ABL) in a large law firm or a specialized financial services practice, to join their busy practice. The ideal candidate will have a strong background in representing financial institutions, private equity firms, and corporate borrowers in complex ABL transactions. This role offers the opportunity to work on sophisticated financing matters in a fast-paced and collaborative environment.The ideal candidate will draft, review, and negotiate complex loan agreements, security agreements, intercreditor agreements, and other related documentation for asset-based lending transactions; Advise clients on structuring and documenting ABL facilities, including revolving credit facilities, term loans, and multi-lender syndicated transactions; Conduct thorough due diligence, including reviewing collateral packages, borrower financials, and other relevant documentation to assess risks and compliance.The Associate will coordinate with clients, opposing counsel, and other stakeholders to ensure timely and efficient closings of transactions; Provide guidance on perfection and enforcement of security interests in collateral, including inventory, receivables, equipment, intellectual property, and real estate; Stay abreast of legal and regulatory developments impacting ABL, including UCC Article 9, bankruptcy laws, and other relevant statutes; Assist in resolving disputes related to ABL agreements and enforcement actions when necessary.Preferred Qualifications include experience with cross-border ABL transactions and international financing structures; Familiarity with distressed debt and restructuring matters as they relate to asset-based lending.Juris Doctor (JD) degree, admission to practice in NY required. Proven experience in managing multiple transactions simultaneously with attention to detail and efficiency required. Compensation includes a base salary ($300K-to-$375K) plus liberal hours-based bonus, robust health benefits and more.
