Corporate M&A Associate

We are seeking a talented and experienced Mid-Level Associate to join our clients Corporate M&A group in Palo Alto, CA. This role focuses on representing clients in mergers, acquisitions, financing, restructuring, and other commercial and contractual matters, with a specific emphasis on technology transactions.Key Responsibilities:Represent clients in domestic and cross-border mergers, acquisitions, stock purchases, asset purchases, investments, and securities offerings.Review corporate contracts, including:Stock purchase agreements, asset purchase agreements, and merger agreements.Vendor and supplier contracts, material contracts, and joint development agreements.Government contracts and non-disclosure agreements.Conduct legal research utilizing platforms such as Westlaw, Lexis Nexis, Deal Point Data, Intelligize, Capital IQ, and Practical Law.Prepare legal analysis and draft memoranda in corporate law and securities regulations.Requirements:Juris Doctor (J.D.) degree or equivalent.Minimum of 2 years of experience in in mergers, acquisitions, and securities offerings.Reviewing and analyzing corporate contracts and agreements.Preparing detailed legal analyses and memoranda.Conducting due diligence and utilizing AI tools.Admitted to practice law in the State of California.How to Apply:If you meet the qualifications and are eager to make a difference in a challenging yet rewarding role, we invite you to submit your application today!If you are interested in this position, and you meet the requirements of the role, please click 'apply now' to forward an up-to-date copy of your CV.
