Each brand has access to a deep community of experts, tools and resources to grow their practices, and an unwavering commitment to delivering high-quality consumer healthcare experiences at scale.?As a reflection of our current needs and planned growth we are seeking an experienced and motivated Senior Corporate Counsel to join our legal team. The ideal candidate will be a corporate generalist with healthcare experience who can provide strategic legal guidance across various corporate, healthcare and privacy-related matters, ensuring compliance, mitigating risks, and supporting the company's business objectives. We welcome candidates who have all or some combination of significant transactional experience, experience in healthcare regulatory matters, including the Anti-Kickback Statute and the Stark Law, and privacy experience, including with HIPAA/HITECH and state privacy laws. This position will report to the Vice President, Associate General Counsel.ResponsibilitiesTake a practical problem-solving approach to efficiently assess issues while advising business leaders on acceptable risk.Work closely with other attorneys and TAG's practice support and brand team members, including key leaders, to protect the legal interests of TAG as a trusted advisor.Provide legal advice and support in day-to-day operations, transactions, acquisitions, payor strategies, and the Company's efforts to expand service lines and territories;Review, draft, and negotiate a wide range of legal documents and commercial contracts, including service agreements, vendor contracts, payor contracts, and other agreements that will meet the Company's business needs.Assist in creating and improving our form agreements, including Service Agreements, NDAs, Business Associate Agreements, and playbooks, as needed.Ensure compliance with regulations and legal requirements relating to the Company's role as a provider of non-clinical business support services to healthcare providers.Keep abreast of relevant legislative and regulatory developments, apprise senior management and supported departments in a timely manner.Consult with outside counsel as needed on complex issues.Minimum Education RequirementsThe successful candidate will hold a law degree from an accredited and well recognized law school and an undergraduate degree from a college or university of recognized standing. He/she will be licensed in good standing to practice law in one or more jurisdictions within the United States and, if not licensed to practice law in New York or Illinois, shall be qualified to serve as in house counsel pursuant to the rules of the New York State Bar Unified Court System or Illinois Board of Admissions to the Bar, respectively.Professional Qualifications - ExperienceHas a successful track record of at least four to six years of experience gained through private practice, in-house corporate legal department, or a combination of both. Has outstanding oral and written communication skillsHas demonstrated experience working with management as a business partner and legal counsel, ability to think like an operator and integrate legal and business solutions in a fast-paced environment.Is able to quickly, confidently, and comprehensively assess a situation, diffuse distraction, and generate new insights, practical solutions and drive an action plan.Communicates in a clear, concise, understandable manner and convey complex and high-risk matters in a manner useful and productive to management decision-making.Presents with confidence to a broad constituency.Personal AttributesSees around corners and is proactive and resourceful.Collaborates and communicates well with others across the organization and possesses strong interpersonal skills.Drives projects to completion independently and requires minimal supervision.Is commercially-minded, practical, and passionate about the overall success of the company.Can assess risk spectrums and recommend risk mitigation strategies.Addresses matters and works with a sense of urgency.
