Pitchbook, a leading resource for comprehensive data, research and insights spanning the global capital markets, named Prime Group as one of the top 10 real estate value-add fund managers in Pitchbook's 2023 Global Manager Performance Score League Tables.Job OverviewThe Associate Counsel is primarily responsible for supporting our internal stakeholder by providing advice with respect to the development and implementation of internal initiatives, drafting and/or reviewing commercial agreements, policies and procedures, conducting legal research and providing litigation support. The Associate Counsel will have at least four years of legal experience working in a law firm or in-house position, with knowledge in areas of corporate and/or securities law. The Associate Counsel reports to the Executive Vice President and Senior Counsel.ResponsibilitiesProviding advice to internal stakeholders regarding legal obligations and risks related to business matters, new initiatives or offerings, particularly with respect to applicable contractual, statutory or regulatory requirementsDrafting, reviewing and/or negotiating a broad range of agreements with vendors, customers and other third partiesManagement of threatened and/or pending litigation, including advising on legal strategy and liaising with outside counselCompleting various legal research projects and related legal analysesMonitoring for developments in applicable legislation, regulation and industry standardsOther duties as assigned by the Chief Commercial Officer and Chief Compliance Officer and Executive Vice President and Senior CounselQualificationsJ.D. from an accredited law school with at least 4 years of experience as a practicing attorney, preferably with a focus on corporate and transactional matters.Admission to the bar in at least one U.S. state and the ability to practice law in the state of New YorkExperience in private equity or compliance is preferred but not required.Ability to work independently.Significant experience in drafting and negotiating contractsKnowledge of U.S. securities laws and regulations, specifically private placementsExcellent verbal and written communication skillsExcellent organizational skills and attention to detailStrong project management, communication and analytical skillsProficient with Microsoft Office and LexisTrack record of establishing solid relationships, polished and highly personableDemonstrated ability to work in a fast paced, entrepreneurial-minded environmentEqual Opportunity Employer StatementPrime Group Holdings is an Equal Opportunity Employer and does not discriminate against any employee or applicant for employment because of race, color, sex, age, national origin, religion, sexual orientation, gender identity and/or expression, status as a veteran, and basis of disability or any other federal, state or local protected class.
