Associate General CounselWHAT YOU'LL BE DOINGThe Associate General Counsel reports to the General Counsel, and serves as legal adviser of the company and its affiliates globally. Performs general counsel work including interpreting laws and regulations; preparing legal opinions, memoranda and other legal documents; rendering legal advice and counsel to executives, officers, management and other employees. Managing outside counsel; reviewing, negotiating and drafting contracts; managing litigation; advising as to the legal implications of anticipated policy and operational decisions, assisting with the drafting of policies, and providing other legal services within areas of the law including employment, transportation, financing, insurance, intellectual property, social media, information technology, real property and environmental matters. ESSENTIAL RESPONSIBILITIES INCLUDE:Advise executives, senior management and other employees on the interpretation, application, and enforcement of local, state, and federal laws and regulations.Advise executives, senior management and other employees as to the legal implications of anticipated policy and operational decisions.Advise executives, senior management and other employees on a wide range of legal and policy issues. Report to General Counsel on all significant company contracts and legal issues, including claims and litigation.Direct legal risk management activities for the company on a global basis by developing, implementing and maintaining programs to ensure legal compliance and cost-effective risk management of claims, litigation and regulatory exposure.Ensure company compliance with employment laws and requirements; advise Human Resources as needed on employment law.Prepare applications to acquire and maintain insurance coverage, prepare insurance claims and ensure compliance with insurance requirements. Develop and draft policies and assist HR, Payroll, IT and other departments with the drafting of policies that allow for compliance and minimize risk according to company standards. Proactive involvement in business projects to evaluate and control exposures; recommend measures to reduce risk.Ensure company has document retention policies and complies with such policies.Review, draft and negotiate contracts, including customer, vendor and service agreements, leases, licenses, memoranda of understanding, letters of intent, and other documents.Represent and oversee outside counsel in representing the company globally in litigation and administrative proceedings brought by or against the company, including preparation and review of pleadings, motions, discovery documents and trial statements, and participation at depositions, hearings, mediations, settlement conferences, trials and appeals. Coordinate significant threatened or pending litigation, claims and regulatory actions and oversee decision-making process and settlement proposals.Accurately and favorably represent the company's legal position in legal and other forums.Remain current on significant litigation, laws and regulations affecting the group companies.Develop and administer guidelines for managing use of outside counsel.Maintain corporate books and records, prepare corporate minutes and other needed documents, and timely submit filings.MINIMUM QUALIFICATIONS AND REQUIREMENTS:Bachelor's Degree required. Juris Doctorate from an accredited Law School in the U.S.State Bar Admission in U.S.Minimum 2 years transportation/logistics experience.
