Legal DirectorThe RoleWe are looking for a Legal Director to serve as one of the primary transactional attorneys. You will report to our Chief Commercial Officer and ideally work a hybrid schedule from either our Ridgewood, NJ, or New York City office.Key responsibilities will include:Support our business development teams related to the deployment of Scale's microgrid offeringsDrive structuring and negotiations of financing arrangements for the business, including corporate debt, project debt, tax equity, and tax credit transfer facilities, through self-performance, appropriate reliance on internal resources, and efficient use of outside counselSupport legal negotiations as needed for various commercial documents, including power purchase agreements, microgrid services agreements, and energy services agreements; real property leases, easements, and licenses; EPC, equipment purchase, asset management, and O&M agreements; hedges of RECs and other environmental attributes; community solar subscriber management agreements; curtailment service providers and grid services agreements; and others as neededEnsure project agreements conform with project financing requirementsSupport management of compliance matters related to licensing and registrations, industry rules and regulations, and contractual obligationsProvide regulatory, permitting, and policy guidance and training on pertinent topics for relevant team membersManage engagements with outside counsel when needed, balancing time, efficiency and expertise with the cost of such engagementsSupport cross-functional teams by providing legal counsel and advice as needed in the normal course of businessPropose and implement process improvements related to legal document management and contractual processes across the businessSupport acquisition and financing activities as needed, including performing early-stage legal diligence on targets and assisting negotiations with targets, developers, and third-party financiersThe Ideal CandidateFor you to be successful in the role, you should have:JD from an accredited law school and barred in at least one US state7+ years post-JD transactional experience, or 5+ years of transactional experience from a nationally recognized law firmExtensive substantive experience structuring and negotiating debt and tax equity arrangements in the US renewables spaceSubstantive experience with relevant industry contracts, including experience negotiating power purchase agreements, energy services agreements, or other customer contractsExceptional business acumen, critical thinking skills, and professional cadenceAbility to manage ambiguity and communicate complex legal concepts and strategic goals in a simplified manner to non-lawyersStrong negotiation skillsProven ability to manage multiple projects and priorities, work independently, and operate in a fast-paced, dynamic, entrepreneurial environmentOur Core Virtues: Do the Right ThingAct Like an OwnerHustleDemand ResultsGo TogetherEvolve or DisappearThis is a great role for someone looking to play a leadership role at a fast-growing PE-backed business.
