In-House Counsel

OverviewWe are seeking a seasoned In-House Legal Counsel to manage our legal requirements, particularly in commercial contract review and negotiation. This role is essential for ensuring that our contractual agreements are legally robust, minimize risks, and align with our business goals. The ideal candidate will also address various general legal matters related to our engineering, service, and OEM operations.Key ResponsibilitiesReview, draft, and negotiate a variety of commercial contracts, including supply agreements, procurement contracts, sales agreements, and service contracts.Ensure all contracts comply with applicable laws and regulations while aligning with company policies and objectives.Identify and mitigate risks associated with contractual obligations and business relationships.Provide legal guidance and support to multiple departments, including engineering, operations, finance, human resources, and sales.Assist in resolving legal disputes and manage litigation or arbitration processes when necessary.Implement and uphold effective compliance programs and internal controls.Aid in the development and implementation of company policies and procedures.Support corporate governance by drafting and reviewing corporate documents and assisting with corporate filings.Work closely with internal stakeholders to ensure legal considerations are integrated into business processes and decision-making.Qualifications:Juris Doctor (JD) degree from an accredited law schoolLicensed to practice law in PennsylvaniaMinimum of 5 years of experienceDemonstrated experience as a commercial lawyer, preferably within the manufacturing service sectorsStrong understanding of corporate law, contracts, intellectual property, and compliance regulationsExcellent negotiation, communication, and problem-solving skillsIf you're ready to take on a key legal role in a dynamic organization, we'd love to hear from you!
