They enjoy a remarkably low attrition rate as the vast majority of lawyers who join the firm wind up staying because they find a firm where they can be themselves, build the practices they want, and achieve a well-balanced life.Practice Overview: Drawing on their extensive corporate and securities law experience, the China Practice supports private businesses in China seeking to go public in the U.S., advising on their private placement financing transactions, including private placement in public equity (PIPEs), and handle U.S. Securities and Exchange Commission (SEC) registration statements and periodic reports. They also help China-based companies evaluate inbound investment opportunities, comply with complex U.S. regulations and laws, and negotiate mergers and acquisitions. The China Practice combines legal acumen with cultural wisdom. Lawyers in the practice fully understand the challenges involved in cross-border transactions, possess a keen eye for business opportunities, and have a clear vision of how to achieve client goals. The China Practice seeks a Senior Corporate Associate or Counsel with at least 5 years of experience in securities law for their NY office.Responsibilities: Advise public and private companies with operations primarily in China, both domestic and foreign, on a broad range of corporate and securities matters, including securities offerings, Securities and Exchange Commission (SEC) reporting and compliance, mergers and acquisitions (M+A), corporate governance, financings, and general corporate matters.Work with companies in different industries to complete public offerings or private placements in the United States and ensure they meet SEC regulations as well as other state and federal legal and regulatory compliance requirements.Communicate with investors, regulators, and SROs.Conduct legal research, and review/analyze public companies' periodic reports to be filed with the SEC.Handle international transactions.Requirements: Juris Doctor (J.D.) or foreign equivalentAt least 5 years of relevant experience in securities lawExceptional legal skills along with excellent communication and interpersonal skillsProficiency in both English and Mandarin ChineseCompensation & Benefits: The salary offered to a successful candidate will be approximately $265,000+ and will be dependent on several factors that may include but are not limited to years of experience within the job, years of experience within the required industry, education, etc.This firm offers a comprehensive benefits package including, but not limited to, medical, dental, vision, supplemental insurance, HSA Account, Retirement Plan, and more.
