The Corporate Governance Paralegal will report directly to the Finance Director and will provide support to the company's entities across the US, Canada and LATAM. The Corporate Governance Paralegal will be responsible for advising on corporate governance, statutory and regulatory matters across board, director and corporate structure activities. The Corporate Governance Paralegal will oversee a portfolio of entities in the Americas and will be responsible for managing all corporate governance matters for said entities. This role will work closely with internal stakeholders across the Americas region, as well as the legal team at the company's European HQ. Oversee a portfolio of entities in the Americas (US, CAN, LATAM), maintaining and filing corporate governance materials for said entities in the databaseRoleOversee all entity formation matters, managing Corporate Transparency Act (CTA) filings as well as updating entity management and CTA filing documentsWork directly with third party vendors, registered agents and outside counsel to ensure compliance with relevant rules and regulationsDraft director and board resolutions and agendasDraft and manage share issuance documentation and maintain stock ledgersCreate and maintain corporate records database and entity chartsAdvise on signing authority guidance and related documentationSupport corporate entity compliance with KYC requests, requests for information and auditsStay abreast of relevant corporate governance issues and regulatory changes, proactively advising internal stakeholdersRequirementsBachelor's Degree from a US UniversityParalegal Certification is highly preferredSignificant experience working as a corporate paralegal, with a focus on corporate governance and entity management, gained in-house and/or at a top law firmMust have experience advising on entity formation, drafting board resolutions and all corporate governance related mattersMust have experience maintaining databasesExcellent drafting skillsExperience supporting international entities is preferredExcellent communication skills
