Acerca del puesto Senior Paralegal Corporate M&A and Public Markets Our client is an innovative startup that is leading the technological revolution in last mile logistics, developing the world's largest robotic delivery network.Location: Remote with occasional travelReports to: Corporate Counsel LeadWhat will you do in this role?As a Senior Paralegal, you will play a key role in high-level corporate transactions, providing legal support in mergers and acquisitions (M&A), capital markets, and regulatory compliance. Your main responsibilities will include:Support in M&A, Private Equity, and Public Markets: Managing mergers and acquisitions processes, transaction structuring, and compliance with public market regulations (Nasdaq, SEC).Due Diligence & Regulatory Compliance: Preparing and reviewing 10-K, 10-Q reports, managing public offerings, and ensuring compliance with state regulations such as Delaware Law.Legal Documentation: Drafting and managing corporate legal documents, including entity formations, registrations, corporate governance, contracts, purchase agreements, and mergers.Securities & Transaction Management: Handling cap tables, 409A valuations, SEC & Blue Sky filings, and equity transactions.Data Room & Critical Document Tracking: Organizing, tracking, and maintaining key documentation in M&A processes.What should you have beforehand?7-8 years of experience in mid-to-large law firms (Big Law) or corporate settings with a focus on M&A and capital markets.Expertise in regulatory compliance, M&A, and public markets, with knowledge of SEC, Nasdaq, and Delaware Law regulations.Advanced knowledge in corporate legal documentation, securities transactions, and financial regulation.Experience managing cap tables, 409A valuations, and equity transactions.Ability to organize and oversee data rooms and due diligence processes in M&fort working in remote and distributed environments, collaborating across different time zones.Desired Competencies Critical and strategic thinking: Strong analytical skills to manage complex transactions and advise on regulatory risks. Attention to detail: Precision in drafting and reviewing high-impact legal documents. Time management and organization: Ability to handle multiple transactions and deadlines in dynamic environments.
