This is a hybrid role where the incumbent will be required to be in the office 3 days a week. The ideal candidate will be agile and nimble, thriving in a fast-paced environment while maintaining a risk-averse mindset. As a key member of our team, you will be a self-starter, ready to roll up your sleeves and contribute to various legal projects, ensuring that all tasks are completed efficiently and effectively. Reporting to the Vice President - Legal, the experienced Paralegal is responsible for providing legal and organizational support to the Office of the General Counsel (OGC).Essential Duties: Corporate Governance: Support OGC in the maintenance of corporate minute books and records, office and director lists, board decks, and related processesDraft resolutions and related governance documentsMaintain Legal Entity governance database Corporate Mergers & AcquisitionsCommercial Transactions: Support OGC acquisition, refinancing, and related due diligence effortsProvide organizational support in contract database managementSupport OGC by drafting and maintaining legal contracts, e.g., NDAs, TSAs, Rate Agreements, POAs, Tariffs etc.LitigationCase Management Support: In coordination with the Vice President - Legal, manage service of process requests and assist with the creation of Litigation HoldsAssist with organizing and maintaining case files, tracking deadlines, and calendaring court appearancesAdministrative Support:Perform administrative duties like copying documents, filing, and maintaining electronic case files for legal matters in support of OGCHandle day-to-day tasks related to legal and compliance operationsMinimum Requirements (Education, Experience, Certifications):2+ years of experience in Paralegal or OGC support role in a fast-paced environmentParalegal CertificateNotary Public or eligibility and willingness to apply to become a New Jersey Notary Public.Preferred Requirements (Education, Experience, Certifications):5+ years of experience in Paralegal or OGC support role in a fast-paced environmentBachelor's degreeExperience supporting in-house legal andor outside counsel in corporate commercial transactions or mergers and acquisitionsKnowledge, Skills & Abilities:Professional DemeanorExcellent oral and written communication skills with acute attention to detailAbility to prioritize and manage multiple time sensitive projects simultaneouslyAbility to work on problems or tasks which require research and analysis; ability to think independently, spot problems and resolve inconsistencies.Ability to support colleagues and collaborate effectively to achieve shared goals.Ability to approach situations with optimism and a belief in positive outcomes.Ability to adjust to changing circumstances and new tasks.Knowledge regarding how to conduct internet research, including Westlaw.Knowledge of company software, including Word, Outlook, PowerPoint, and Excel required.Ability to create and present a plan of action, and independently manage projects to favorable resolution or conclusion.Ability to be flexible with others, to display tact and diplomacy and maintain integrity of confidential and sensitive informationAbility to collaborate in a team environment with a strong commitment to achieving team resultsAbility to thrive under pressure and adapt to changing prioritiesWorking Conditions: General office work environment.Travel less than 5%Hybrid position (3 days in office)NOTE: This job description is not intended to be all-inclusive.
