Mergers & Acquisitions Underwriting Intern New York, NY I USA AXA XL' s Global Mergers & Acquisitions Insurance division focuses on the underwriting of transactional risk insurance solutions for private equity firms and corporate strategic buyers and sellers operating around the globe. These products, namely representation and warranty, tax opinion, tax credit and contingent liability insurance, are now being used more regularly by buyers, sellers and their advisors to quantify, price and allocate risk. Since establishing this business division in 2016, AXA XL is expanding its suite of products to key clients while creating a more efficient means for them to close deals and reduce uncertainty. Our rapidly growing Mergers & Acquisitions unit is now looking to hire two Underwriting Interns in the New York office to support its business functions. Underwriting Interns will play a critical role within the team supporting the insurance underwriting process and working with our team in reviewing and analyzing complex corporate transactions and underwriting transactional M&A insurance. They will obtain hands-on training in various legal and financial concepts underpinning transactional risk exposures and will have the opportunity to gain valuable experience working in the rapidly growing transactional risk insurance industry at the ground level. Additionally, Underwriting Interns will have the ability to foster relationships both internally at AXA XL as well as externally with brokers, law firms and private equity firms. DISCOVER your opportunity What will your essential responsibilities include? Reviewing and analyzing Non-Disclosure Agreements and Non-Reliance Letters. Reviewing and analyzing public and private M&A transaction documentation, due diligence reports, and target company financial statementsquality of earnings reports to assist underwriters in identifying deal risks, assessing target company financial strength and performing pre-underwriting analysis used in quoting representations and warranties insurance. Assisting with the drafting of custom-tailored quotes for proposed M&A insurance policies. Interacting with and supporting underwriters on day-to-day business issues and throughout the underwriting process, including performing detailed analysis of issues raised on underwriting calls and in due diligence reports. Assisting with the drafting of insurance policy terms and language specifically addressing the risk and issues in each transaction. Developing and cultivating relationships with M&A insurance brokers, external lawyers and internal AXA XL colleagues across various business units. Gathering underwriting information via the Internet and other publicly available sources and completing underwriting analysis for each unique risk. You will report to the Vice President & Senior Underwriter, M&A Insurance.SHARE your talent SHARE your talent We're looking for someone who has these abilities and skills: Rising third year law school student in the Tri-State area focusing on corporatebusiness law or rising second year business school student with prior professional deal experience preferred. We will also consider rising second year law school students to the extent they have an exemplary academic background andor prior legal and business experience before attending law school. Basic knowledge of transactional legal exposures (i.e. basic contract terminology and corporate law concepts; representations and warranty terms; indemnification obligations; differences between stock vs. asset deals) Ability to comprehend financial statements and comfort addressing tax issues and other commercial matters is a plus. Accounting Corporate Finance course-work a plus. Excellent written and oral communication skills. Comfort working withdrafting legal documents and robust attention to detail. Self-starter, highly focused, enthusiastic and creative thinker. Organized, and able to work in a fast-paced environment with tight deadlines and deal-time pressures. The U.S. pay range for this position is USD 43 per hour. Actual pay will be determined based upon the individual's skills, experience, and location.
