The role shall report to the Managing Director, Corporate SecretarySenior Counsel, who is based in New York, NY. BBH operates a strict hybrid work policy, requiring staff to work three days in the officetwo remote each week. The Assistant Corporate Secretary provides governance and administrative support to the Corporate Secretary, Board of Directors, and executive leadership. This role ensures compliance with corporate regulations and facilitates board meetings, as well as assisting the Corporate Secretary in maintaining the integrity of the Firm's legal-entity governance framework and operating subsidiaries (located across the Americas, Europe, and Asia). The Corporate Secretary's team works very closely with the firm's Partners and independent non-executive and executive directors, and demands the highest standards of professionalism, discretion, and attention to detail. If you are seeking to advance in your corporate governancelegal compliance career, within a professional, corporate setting, we would love to hear from you.Responsibilities of the role shall include: Assist in organizing and coordinating board and committee meetings, including preparing agendas, materials, and minutes. Ensure the timely distribution of board documents and resolutions.Maintain accurate records of boardboard committee decisions and corporate actions.Assist in ensuring compliance with corporate governance regulations, securities laws, and company policies.Support the preparation and filing of regulatory documents with relevant authorities.Monitor corporate governance trends and recommend best practices.Maintain corporate records, including board minutes, resolutions, policies, and legal documents.Oversee document retention policies and ensure secure storage of sensitive materials.Provide executive support to the Corporate Secretary and assist with scheduling and correspondence.Assist with drafting legal documents and corporate reports.Support corporate governance initiatives, risk management programs, and development of policies and procedures.Review and enhance the electronic filing system and input information into entity database.Facilitate the annual review and updating of Inter-Company Service pile and updating Board and Committee meeting packages, using Board Portal software.Maintain subsidiary authorized signatory lists.Respond to requests from internal partners including Internal Audit, Compliance, Finance, Risk, Compliance, and H.R.SkillsQualifications: 3+ years' work experience in a corporate governance, legal administration, or similar role (preferably either law firm or financial services industry).Bachelor's degree required. Governance Professional qualification, JD, LLB or LLM preferred.Strong knowledge of corporate laws, governance principles, and regulatory requirements.Well-organized, with a high attention to detail.Proactive; able to work off own initiative; multi-tasking skills.Excellent organizational, communication, literary and multi-tasking skills.A positive "can-do" approach.Aptitude for technology, including proficiency in Microsoft Office Suite; experience working with Board Management Software a plus.Strong sense of professionalism and discretion, business ethics and willingness to step in and assist other members of the teamtake on ad-hoc projects as required.This role is based in our New York City location and is a hybrid role, with three days per week in office.Salary Range$90k-$120k base salary + annual bonus targetBBH's compensation program includes base salary, discretionary bonuses, and profit-sharing. The anticipated base salary range(s) shown above are only for the indicated location(s) and may differ in other locations due to cost of living and labor considerations.
