This role offers the opportunity to advise startups, venture capital investors, and high-growth companies through all stages of their business lifecycle.Key ResponsibilitiesAdvise emerging companies and venture capital investors on corporate and transactional matters.Draft and negotiate venture capital financing documents, including term sheets, convertible notes, and NVCA financing agreements.Counsel clients on corporate governance matters, including board and shareholder issues.Support clients in M&A, joint ventures, and strategic transactions.Conduct due diligence and assist with transactional closings.Serve as outside corporate counsel to early- and late-stage private companies.Manage client relationships and coordinate with outside counsel.QualificationsJ.D. from an accredited law school.Admission to the California Bar.4-6 years of corporate law experience, with significant focus on ECVC transactions.Strong drafting, negotiation, and analytical skills.Experience managing multiple transactions in a fast-paced, high-growth environment.Entrepreneurial mindset and ability to work both independently and pensation & BenefitsBase Salary: $310,000 - $390,000, based on experience.Bonus prehensive health, dental, and vision insurance.401(k) with employer contributions.Generous PTO, holidays, and paid sick leave.This is an exciting opportunity for a midlevel corporate attorney to join a leading ECVC practice with direct client exposure and room for growth.
