We are currently seeking an M & A Associate who will work in our Canton, Akron, or Cleveland office. The person who fills this role will have the opportunity to become a part of a growing mergers and acquisitions team. He or she will have the opportunity to work on sophisticated transactions, representing top tier clients while enjoying the close-knit culture and hands-on experience that only a firm like ours can offer. The role includes working directly with Buckingham partners and firm clients on a wide variety of complex matters.The essential job functions are: Lead and support high-profile M & A transactions, including acquisitions, mergers, joint ventures, and complex restructuring deals; Advise clients on strategic matters, including negotiating terms, structuring deals, and advising on Rep & Warranty Insurance (RWI) and other key deal elements; Handle key transactional documents such as purchase agreements and disclosure schedules; Take ownership of the due diligence process and manage client relationships from start to finish; Advising on mergers and acquisitions and business entity governance matters; Advising on choice of entity and creating and restructuring business entities; Assisting in due diligence efforts and post-deal integration;Our ideal candidate will possess the following qualifications: Interest in pursuing a long term career in our law firm environment, developing a book of business and a successful practice over time; 4-7+ years of experience in a law firm or in house legal department; Experience andor background in business, tax, commercial transactions, lending, finance, or accounting preferred; Strong drafting, research, and writing skills; Ability to work effectively with teams and independently, as well as manage and prioritize multiple projects; Strong analytical skills; Ability to work with staff, attorneys at all levels, and firm clients successfully. Candidate must be licensed or attain license to practice law in the State of Ohio.This is a full-time position, and compensation is commensurate with experience.
