Every employee takes a person-centered approach that exemplifies the ICARE values (Integrity, Compassion, Accountability, Respect, and Excellence) through empathic communication and partnerships between all persons.Job DescriptionThe Senior Counsel provides counsel, recommendations and approaches legal issues with or without precedence regarding corporate objectives, changing conditions and maintenance of corporate operations within the limits of the law. Establishes policies and administrative programs. Handles legal matters which have wide-range implications on the corporate relations and operations which are unique, and which require a high order of legal endeavor for their solution. Serves as principal assistant to General Counsel. Assumes full responsibility and authorization in the General Counsel's absence.This Senior Counsel is a member of the senior legal team in the Office of General Counsel with a primary focus on real estate and contracts as well as general corporate affairs. This position also involves a leadership role in the System's management of its real estate.General tasks and responsibilities include:Real Estate: The real estate attorney represents both the System and its managed care subsidiary, MetroPlus. The work involves:Commercial leases where the System is tenantDevelopment deals where the System is landlord on ground leasesAgreements for the licensing of space within the System's hospitalsNegotiating deal terms in coordination with the System's commercial broker and the user group within the System and then negotiating the language of the leaseManaging the process of securing System Board approval, City Law Department approval and Mayoral approval. This involves the preparation of authorizing resolutions and other explanatory materialsLong-term ground leases including:Coordination with City agencies and supporting the Real Estate Group in formulating the development planObtaining benefit for the System either financially, in the housing or reconfiguration of System health care facilitiesObtaining housing for the System's patients on dischargeLicensing space within System facilities such as parking operations, food service vendors and complimentary medical providersManaging leasing disputes, tax matters, the exercise of options, addressing violations, executing estoppel certificates and subordinationnon-disturbance agreementsCorporate: The Senior Counsel drafts resolutions presented to the Board. The attorney participates with others in OLA in By Law revisions and issues of procedure. The attorney works with others on the structural relationship of the System to the City and State of New YorkAgreements: The Senior Counsel work on various commercial agreements on behalf of H+HEnvironmental: The attorney handles environmental violations, negotiations and settlementsSupervision of Junior Staff: Supervise Associate Counsel andor support personnel on particular projects or functionsAll other tasks as assigned by the General Counsel or her delegateMinimum Qualifications1. A baccalaureate degree or equivalent, and L.L.B. or J.D. from an accredited school oflaw; and admission to the New York State Bar; and2. Six (6) years of relevant, responsible experience and background in the practice of lawsubsequent to admission to the Bar, or3.
