Our corporate attorneys advise clients on a wide variety of issues affecting commercial, financial, and industrial enterprises, both publicly and privately owned.ResponsibilitiesWe are seeking an associate with 4+ years of transactional experience with the ability to quickly integrate and support the firms Venture Capital & Emerging Companies practice. Responsibilities will include:Drafting and negotiating venture capital investment agreements including NVCA formsLeading negotiations of key terms of all venture capital investment agreementsSupervising, training and mentoring associates in all aspects of venture capital financingAdvising emerging companies on typical matters that arise in their day-to-day operations, including board and stockholder communications and approvals and equity awardsCollaboration with team members is an important component of any role at Mintz. Therefore, the firm encourages working from the office approximately 60% of the time in accordance with the firms published guidelines.QualificationsGraduated with a JD or LLM from an ABA-accredited law schoolMust be admitted or eligible for admission in New York or MassachusettsA minimum of four years of venture capital and emerging company practice experienceKnowledge of Excel and capitalization tablesExcellent written and oral communication skillsProfessionalism in working and engaging with clients and colleaguesAbility to prioritize, meet deadlines and balance competing responsibilitiesAbility to stay organized and exercise extreme attention to detailAbility to collaborate and work effectively in team settingsOur Client is an Am Law 100 law firm with over 600 attorneys serving clients worldwide. We are strategically located to meet the needs of our clients, with offices in Boston, Los Angeles, Miami, New York, San Diego, San Francisco, Toronto and Washington, DC.The salary range for this position is $310,000 to $365,000. This position is bonus eligible.
