Paul, Weiss is seeking a specialized transactional attorney to join its growing transactional practice group dedicated to servicing a major private equity firm. The Specialized Attorney will be primarily responsible for day-to-day transactional support. Responsibilities: Review and negotiation of the following legal documents: Non-Reliance Letters Engagement Letters (including coordination with outside counsel and various listservs) Tax Representation Letters Compliance Letters (coordination with controllers and risk compliance) Internal Legal Letters (coordination with Litigation and Regulation group) Schedules to Master Confidentiality Agreements Derivative Trade Confirmations (coordination with PW counsel as necessary) Other bespoke legal documents Processing Credit Vendor Non-Disclosure Agreements ("NDAs") Assisting Operations team and Paralegal team to complete the medallion guarantee process for stock powers Other bespoke legal tasks and assignments Qualifications: JD Required. Three or more years of recent work experience in private practice or relevant in-house practice. The role is principally responsible for providing dedicated legal coverage for reviewing and approving corporate, and deal-related vendor contracts, engagement letters, and the like. Experience in one or more of the following practice groups is preferred (as a non-exclusive sampling in alphabetical order): Capital Markets; Corporate; Corporate Governance; Finance; Investment Funds; Mergers & Acquisitions; Private Equity; and Restructuring. Ability to work extended hours as needed. Ability to meet tight deadlines and see a project through to completion. Ability to communicate professionally and effectively. This is a hybrid role which requires in-office attendance in accordance with the schedule set forth by the department. A hybrid schedule is an essential function of this role. Salary: $125,000 - $150,000. Paul, Weiss offers competitive compensation and benefits packages.
